Karya Legal is a legal practice established in April 2017 by young lawyers who were inspired to help micro small and medium-sized enterprises, start-ups, and any companies who could not afford expensive lawyers’ fees. Karya Legal is aiming to inspire small entrepreneurs to build their dreams.
Since April 2017, Karya Legal has assisted start-ups and micro small and medium-sized enterprises in a range of transactions starting from a home business to a tech business. We are the one who is willing to assist companies who wish to grow up. Having experienced in diverse fields of law, our team provides the benefit of greater insights on how to establish your businesses.
We provide the solution to those who are faced with expensive legal services. We understand that smaller businesses could not experience equal legal services because of expensive costs although smaller businesses have higher risk of business failures.
In this case, we are committed to provide affordable legal services so clients could reduce any possible legal risks in the future. We believed that helping our clients will give chances to create a strong and robust foundation for our community in Indonesia which will ultimately benefit all people.
We realized that establishing new businesses requires more than just business skills and knowledge, but also understanding and comprehension on legal hurdles. In that sense, we recognized that our skills and knowledge about law should be able to solve any legal problems related to businesses. Having members who once worked in well-established law firms before, we do understand such importance.
Beyond just business law knowledge, we also acknowledged the significance of dispute when it comes to business transactions and we believe that the ability to see possible risk of dispute in business transaction is necessary in our services. With members who had experienced working at prominent Jakarta-based dispute firms and a prominent Jakarta-based legal aid institute, we could address fundamental problems related to our clients’ businesses.
Karya Legal provides a diverse range of services for corporate practice such as formation of business entities, acquisitions, transactions, and corporate governance. In addition to that, we are also able to prepare sale-and-purchase and any related agreements, conduct legal due diligence, and prepare internal legal corporate documents such as corporate approvals. Most of our work in this practice area covers preparing advice for clients, structuring clients’ business, preparing arrangement for companies’ establishment such as drafting joint venture agreement or shareholders agreement.
Karya Legal provides various types of legal services related to financing starting from Indonesian law bilateral to multilateral financing where such assistance will include work on Indonesian law security documents such as pledge, fiducia, guarantee, or conditional novation. Having negative cash flows and no significant assets, we realized that financing is one major disadvantage for smaller businesses. With members who have experience working in financing field, we are able to provide clients with alternative financing schemes such as venture financing.
Intellectual property law is one of the most important aspects of micro small and medium-sized enterprises as well as start-ups since intellectual properties are their most siginifant assets. Our work in intellectual property practice covers intellectual property searches, registration, and renewals. Since its establishment, Karya Legal has handled various intellectual property work which include trademark searches, registration including preparing arrangement related to copyright.
The value of land assets are quite significant to corporations in general, let alone for micro small and medium-sized enterprises and start-ups. In this area, Karya Legal is able to provide legal services to clients related to land sale and purchase, land registration, land certification, land split, hak tanggungan, and any other land matters. We have experienced in handling a start-up property developer where we advised and assisted our client with respect to its regulatory complience and business structure.
Employment is one of the issues faced by many corporations. We recognized that companies’ operations depend on the work of their employees where employment benefits take an important role to motivate employees. Since compliance in this field is one major factor for companies, we are willing to assist both companies and employees to grasp the dynamic of employment matters in Indonesia. In fact, one of our members also works as the Director of a Jakarta-based legal aid institute who handle country’s major employment disputes.
Karya Legal provides affordable legal services to businesses classified as micro, small, and medium enterprises based on Law No. 20 of 2008 on Micro, Small, and Medium Enterprises. We provide probono services for clients deserving to recieve one based on our sole discretion.
Ditho Hasian Feliciano Sitompoel graduated from Queen Mary University of London in 2016, having earlier graduated from Universitas Gadjah Mada in May 2013 with a cum laude predicate. Shortly afterwards, he worked at Mawar Saron Legal Aid Foundation, one of the Indonesia’s most prominent legal aid foundation, where he was currently appointed as the Director.
After 1.5 years served poor people to get access to justice, he continues his career as a lawyer at Hotma Sitompoel Law Firm. At Hotma Sitompoel Law Firm, Ditho focuses his practice on Commercial Litigation, Arbitration and Alternative Disputes Settlement. Ditho has represented clients in both domestic and international arbitration proceedings under various arbitration institutions. He has also obtained his advocate practicing certificate from the Indonesian Bar Association (Peradi) and Certified Mediator from the Indonesian institute for Conflict Transformation (IICT).
In Universitas Gadjah Mada, He also managed to actively participate in student organizations and activities, including mooting competitions in which he represented Indonesia as a team member for The Louis M. Brown International Client Counseling Competition in Hong Kong and The 19th Willem C. Vis International Commercial Arbitration Moot in Austria.
Rizky started his legal practice in Indonesia from 2013 by working as an in-house lawyer in an Australian oil and gas company in Jakarta, where he grasped the opportunity and knowledge to experience hands-on the Indonesian oil and gas industry.
Following his career, Rizky then joined one of Indonesia's top tier law firms and served as one of the members of banking and finance team. During his time there, Rizky significantly improved his skills and knowledge through handling corporate and project finance.
Rizky holds a bachelor of law degree from University of Indonesia where he graduated with cum laude in three academic years. As an aspiring and prominent law student, he represent University of Indonesia in a variety of national as well as international competitons. In the Willem C. Vis International Arbitration Moot, Rizky and his team successfully rank 11th out of 290 universities worldwide. Rizky himself is a certified advocate in the Indonesian Bar Association (PERADI).
Fanny graduated from Catholic University of Atma Jaya with cum laude predicate in three and half academic years. Fanny represented her university at several competitions where she successfully became the finalist of Legalislative Drafting Competition on High Education at Universitas Indonesia.
Fanny joined one of Indonesia’s prominent law firms where she was exposed to various fields of corporate law such as merger & acquistion, general corporate, capital market, and restructuring. She has assisted numerous clients on various of securities issuance both nationally and internationally at domestic and overseas stock exchange institutions. Her work there includes drafting agreements, supervising due diligence as well as negotiating with counterparts.
Fanny already obtained her advocate license certificate from the Indonesian Bar Association (PERADI).
